Senior bankers are leaving large institutions and discovering, often mid-negotiation, that the relationship they spent twelve years building does not travel the way they assumed. The clients will follow them. The documentation will not. And without the documentation, re-onboarding a CHF 300 million book at a new institution under current FinSA obligations takes months the banker did not price into their decision. The banks knew this. They built it that way. Nobody said so out loud.
The scale of compliance investment in private banking is not incidental. A 2024 LexisNexis Risk Solutions study found that the cost of financial crime compliance has increased for 99% of financial institutions in the US and Canada, reaching 61 billion dollars annually. In Europe, the picture is comparable. In the UK alone, banks and fintechs spend an estimated 21,400 pounds per hour fighting financial crime and fraud, with the annual compliance bill reaching 38.3 billion pounds. Deloitte estimates compliance operating costs have increased by over 60% for retail and corporate banks compared to pre-financial crisis levels.
For Swiss private banks specifically, the regulatory stack has become dense. FinSA, FinIA, FINMA Circular 2025/02, Basel III Endgame, evolving AML obligations, and a proposed federal transparency register for beneficial ownership due in 2026. In June 2025, the Federal Council detailed legislative measures including the introduction of a Senior Managers Regime, new FINMA powers to issue administrative fines, and enhanced early intervention measures. Each layer requires documentation, systems, and institutional infrastructure that individual bankers cannot replicate or carry.
Banking executives now spend 42% of their time on compliance matters, up 75% from 2016, while boards dedicate 43% of their time, up 63% from the same period. The cost is real. But the structural consequence is what the industry does not discuss: all that compliance infrastructure creates an asymmetry between the banker and the bank that grows harder to cross every year.
When a relationship manager leaves, the suitability assessments, KYC files, risk classifications, and signed advisory agreements stay. Legally, they belong to the institution. The banker walks out with their relationships and their reputation. The bank keeps the paper trail the next institution needs to onboard those same clients.
Here is the scenario that plays out more often than the industry acknowledges. A banker with CHF 400 million, solid client loyalty, a credible offer on the table. The move makes sense on paper. Then their lawyer maps the non-solicitation exposure, the documentation the new bank will require to satisfy FinSA suitability obligations from scratch, and the realistic timeline to make the book whole again. Eighteen months of rebuild, conservatively. The banker recalculates. Some move anyway. Many do not. The bank never made a counter-offer. It did not need to.
Under Swiss case law, non-solicitation clauses may even apply to clients who were already clients of the employee before they joined the employer, because those clients legally become clients of the institution. The sole exception applies where a client relationship is driven entirely by the personal attributes of the individual. In practice, proving that exception requires litigation that most departing bankers cannot afford to initiate. The result is a friction cost on mobility that has nothing to do with compensation. It is structural. And it compounds.
The banks that understood this earliest are not the ones with the most aggressive non-solicitation clauses. They are the ones that built the deepest client documentation systems, the most thorough KYC refresh cycles, the most integrated advisory platforms. Every client interaction logged inside a CRM is a data point the bank owns. Every suitability profile updated through the bank's portal is a file the banker cannot replicate at the next institution. Every co-signed investment proposal that lives inside the bank's document management system is a piece of the relationship the bank is retaining, not the banker. This is not cynicism. It is architecture. And the most sophisticated institutions have built it deliberately.
The KPMG 2025 study on Swiss private banking noted that the growing regulatory burden makes it increasingly difficult for even a successful bank to operate, contributing to ongoing consolidation. What the same report does not say is that for the largest surviving institutions, that burden is a competitive advantage. The compliance overhead that kills smaller banks protects larger ones, not just from regulators, but from talent mobility.
The talent market in Swiss private banking is already under pressure. Private banks lost high-performing relationship managers in 2024 to IAMs and boutiques, further exacerbating the talent shortage for traditional institutions. The bankers who do move are increasingly moving to smaller, less bureaucratically complex environments where the documentation burden is lower and the relationship with the client more portable. The irony is sharp. The regulatory architecture that the large banks built to protect client assets is also protecting the banks from their own talent leaving. And the side effect is a market where the most senior, most experienced bankers face the highest exit costs, regardless of whether their compensation reflects that reality.
The golden handcuff used to be a deferred bonus with a three-year cliff. It was transparent, negotiable, and eventually paid out. The new handcuff is invisible. It is built into every client file, every suitability form, every KYC refresh cycle. It does not expire. It accumulates. And the longer a banker stays, the deeper the documentation runs, and the higher the exit cost becomes. Loyalty and tenure, once rewarded with seniority, now also function as a trap.
